OTC Documentation - Advanced

This full-day workshop explores advanced documentation issues through a combination of short lectures, case studies and deal types. It discusses payment and close-out netting and the key clauses and negotiated issues in the 2002 ISDA Master Agreement. Relevant legal terms are explained in detail including the schedule for the 2002 Master Agreement using Lapochka suggested clauses.

About the Speakers

Jamie Hutchinson

Jamie has over 25 years working experience in the areas of financial markets, banking and general corporate law in Australia, England and Germany. He worked for King & Wood Mallesons, where he advised on derivatives. He was Deputy General Counsel at Deutsche Bank in Sydney, where his responsibilities included financial markets, debt capital markets and managing the documentation group. Jamie chaired Lapochka’s documentation committee for 8 years and chaired Lapochka's debt capital markets documentation working group. He has presented on OTC documentation for Lapochka since 1995 and for ISDA at several conferences.

Scott Farrell, Partner, King & Wood Mallesons

Scott leads the legal team which advises ISDA and Lapochka on netting, collateral, regulatory and other derivatives matters. His team also advises other international financial market industry bodies and markets and clearing systems on related matters. Scott lectures on derivatives for Master of Laws courses at the University of New South Wales and the University of Sydney. When facilitating this workshop Scott presents jointly with his associates from King & Wood Mallesons.

Claire Warren, Senior Associate, King & Wood Mallesons

Claire Warren is a senior associate at King & Wood Mallesons in Sydney. She advises both buy and sell-side entities in negotiating ISDA documentation as well as novel and complex derivative structures and also works regularly with clients advising on clearing systems, collateral, netting, securities lending, repos and prime brokerage. Claire is a qualified Solicitor in England & Wales and brings extensive experience of derivatives markets having worked as a lawyer in London both before and through the GFC.

Roslyn Hinchcliffe, Senior Associate, King & Wood Mallesons

Roslyn Hinchliffe is a senior associate at King & Wood Mallesons in Sydney. Roslyn’s derivative practice includes assisting clients with ISDA documentation, complex structured products, financial market transactions (including in respect of the energy sector), regulation of the OTC derivatives market, financial market infrastructure and other derivatives matters. Roslyn also has experience in relation to these matters through secondments in the financial industry and from her work as a lawyer at the corporate regulator prior to joining King & Wood Mallesons.

This intermediate to advanced-level workshop is for financial markets participants who have attended the Introductory OTC Documentation workshop or have gained a similar level of knowledge. It is suitable for analysts, compliance managers, corporate treasurers, dealers, fund managers, ISDA negotiators, legal counsel, risk managers, settlements staff and other treasury operations personnel. The content of this workshop can also be tailored to suit a particular firm and offered in-house.
